Service Usage Terms and Conditions

1.Introduction

  • Digikats Media and Marketing Consultancy is a digital marketing agency offering services like digital advertising, website development, email marketing, and more.
  • The terms and conditions govern the use of services by the “Client”, also referring as “You”, “Your”, and “Their”, provided by the “Agency”, also referring as “We”, “Our” and “Digikats”.

2.Services

  • The list of services offered by Digikats:
  1.  Digital Advertising
  2.  Social Media Content Marketing
  3.  Website Development
  4.  SEO & Website Content
  5.  Marketing Strategy & Consultation
  6. Branding & Packaging
  • We offer extra services like video and photo shoots along with Social Media Advertising and Social Media Content Marketing. Other related services like traditional marketing can be acquired on demand.

3.Retainer Plans

Digikats offer 2 types of retainer plans:

  1. Business Starter Plans
    1.1. Spark
    1.2 Ignite
    1.3. Ascend
  2. Monthly Essentials
    2.1. Teal
    2.2. Yellow
    2.3. Purple


Besides the retainer plans, we offer individual packages for the rest of the services.
Important note about the plans: Each plan is for one brand only (including the single brand’s social media channels and website). 

4.Client Responsibilities

  • The responsibilities of the “Client” include:
    • Access to necessary accounts (website, social media)
    • Content and creatives (text, images, videos), unless ordered from the “Agency”
    • Timely feedback and approvals
    • Cooperation throughout the project

5.Agency Responsibilities

  • Digikats is responsible for:
    • Delivering services according to the agreed-upon scope
    • Maintaining open communication with the “Client”
    • Following best and up-to-date practices in digital marketing
    • Educating the “Client” about the services provided reasoning the choices

6.Termination Terms

Digikats offers fixed packages and project-based services.
For cancelling the below-mentioned services please follow the termination notice periods.

  • A notice period of 40 days is required to cancel one of the Business Starter Plans or Monthly Essentials.
  • For ongoing services like SEO and Content Writing and Social Media Content Marketing, a notice period of 30 days is required. 
  • For singular projects like Website Development, Email Marketing, Search Engine Advertising, and Social Media Advertising a notice period of 14 days is required.
  • Following the notice period guidelines will allow the “Agency” to deliver what was prepared beforehand for the month and create the necessary final reports.

7.Fees and Payment

  • The package fee needs to be paid within 7 (seven) days after signing the agreement. The renewal fees need to be transferred before the 15th of the next month.
  • 50% of the fee for the service Website Development needs to be paid upfront and the other 50% upon delivery.
  • All other project-based services require an upfront payment.
  • The advertising spend will be agreed between the two parties. The “Client” may transfer the advertising costs to the “Agency” or add their payment method to the advertising account.
  • Extra costs may be incurred if the “Client” requests professional videography and photoshoots.
  • Extra costs may be incurred for third-party software inquiries such as a hosting change, email service set up, and other tools requested by the “Client”.
  • Extra costs may be incurred for buying a domain for the “Client”.
  • Extra costs may be incurred if the “Client” requests help for traditional marketing such as billboard rental or event organization.

8.Intellectual Property

The work produced by the “Agency” such as logo, website, video, photo materials, taglines, and leads from advertising campaigns are the intellectual property of the “Client”.

9.Confidentiality

Digikats will request the “Client’s” consent to use their brand name among the client list. Digikats are responsible for keeping the “Clients” confidential information secure.

10.Warranties and Disclaimers

Digikats are committed to providing high-quality marketing services that align with your business goals. We employ industry best practices and inform our “Clients” of campaign progress through regular reporting and communication. However, it’s important to understand that SEO and advertising results can take time and are influenced by external factors (such as advertising, services or products of the company, delivery and transparency of information related to the legal aspects of the company). We cannot guarantee specific rankings, clicks, or conversions. Our success is measured by the dedication of both parties and the expertise we bring to your campaigns. 

11.Indemnification

  • The “Agency” doesn’t take responsibility for failing to deliver the services on time due to the lack of collaboration and delays caused by the “Client”.
  • Force majeure includes failing to deliver services due to circumstances beyond our control (e.g., natural disasters, power outages).

12.Amendment

If the terms have been amended by the “Agency”, they will not impact already signed contracts.
